GoDaddy - Website Design Services Agreement

The Universal Terms of Service Agreement sets forth the general terms and conditions of your use of the Site and the Services. This Website Design Services Agreement (this “Service Agreement”) governs your use of GoDaddy's Website Design Services. Capitalized terms used in this Service Agreement, but not defined, are defined in the Universal Terms of Service Agreement.

1. Website Design
   1. Essential Websites + Marketing Design includes your choice of pre-designed elements, one (1) round of revisions (revisions not to include new content past plan allowance). Once the site has completed the initial revisions phase or has been modified in any way by you (the customer or someone on your behalf), no additional work will be completed by WDS without the purchase of Marketing Services and only if deemed within WDS’ scope of support for Essential Websites + Marketing Design.
   2. Starter WordPress Design includes your choice of pre-designed elements, one (1) round of revisions (revisions not to include new content past plan allowance). Once the site has completed the initial revisions phase or has been modified in any way by you (the customer or someone on your behalf), no additional work will be completed by WDS without the purchase of Marketing Services and only if deemed within WDS’ scope of support for Starter WordPress Design.
   3. Standard WordPress Website Design includes your choice of pre-designed elements, up to five (5) site pages, and one (1) revision after your site is completed (revisions not to include new content past plan allowance). Once the site has completed the revisions phase or has been modified in any way by you (the customer or someone on your behalf), no additional work will be completed by WDS without the purchase of Marketing Services and only if deemed within WDS’ scope of support for WordPress Design.
   4. Premium WordPress Website Design includes your choice of pre-designed elements, up to ten (10) site pages, and one (1) revision after your site is completed (revisions not to include new content past plan allowance). Once the site has completed the revisions phase or has been modified in any way by you (the customer or someone on your behalf), no additional work will be completed by WDS without the purchase of Marketing Services and only if deemed within WDS’ scope of support for WordPress Design.

3. Logo Design The Logo Design Service does not include the creation of a custom logo created from completely original elements outside of our current Logo Studio process. Purchase of the logo design service includes an initial interview (via online or by phone), presentation of one (1) initial designs, and one (1) rounds of requested revisions to the selected design. GoDaddy will charge a fee for additional designs/revisions requested by you. The amount of the fee will be communicated to you and is required to be paid prior to the start of work on additional revisions/designs.
   1. Rights in Logo Design: Notwithstanding anything to the contrary in this Service Agreement, with regard to the Logo Design Service only, and upon payment in full, you have ownership of the Logo Design provided to you for use in any manner you deem appropriate. You acknowledge that your ownership rights under this Service Agreement is limited to the final Logo Design provided to you by us, and that you have no ownership interest in any trademarks or service marks contained in or made a part of the final Logo Design, to include any original graphical element from our Logo Design Studio (collectively, “GoDaddy Pre-Existing IP”), conveys and that we expressly reserve all right, title and interest in and to the same. Notwithstanding, we hereby grant you a worldwide, royalty-free, perpetual and irrevocable right and license to GoDaddy Pre-Existing IP contained in or made part of your Logo Design for use as contemplated by this Service Agreement. You hereby grant us a royalty-free, perpetual, irrevocable, sub-licensable, non-exclusive, worldwide right (including any moral rights) and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, communicate to the public, perform and display (in whole or in part), and/or incorporate in other works the Logo Design, in any form, media, or technology now known or later developed for promotional purposes of GoDaddy and/or our Logo Design Service.
   2. Disclaimers: You hereby acknowledge that we shall have no obligation or duty to perform trademark, service mark or copyright searches or inquiries, or the like, in order to validate the propriety or legality of the final Logo Design and we have not reviewed for intellectual property clearance. GoDaddy makes no representation, warranty or guarantee as to whether Logo Designs may infringe on third-party intellectual property rights. Accordingly, you are encouraged to perform your own independent searches with regard to the Logo Design. Furthermore, you acknowledge that we shall have no responsibility or obligation of any kind to assist you in seeking state, federal, country or international intellectual property protection (i.e., without limitation, trademark or copyright registration) for the Logo Design, nor shall we be responsible to assist in any way in your attempt to procure or perfect such rights in the Logo Design. You understand that it is your obligation alone to copyright the logo design and/or seek trademark protection to the extent you deem appropriate and/or necessary.
4. Photo Shoot Services Photo Shoot services may include us sending out a freelance photographer, in your area, to take photographs of your business (on location) that can be used in the design of your website or other WDS Services. Photo Shoot services are only eligible for a refund if cancelled more than 48 hours before your scheduled photo shoot.
   
   “Content” means text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided or otherwise made available through the Services. “GoDaddy Content” means any Content created or licensed by GoDaddy (including, without limitation, Content created for you or with your input). “Customer Content” means any Content that Account holders (including you) provide to be made available through the Services.
   
   To the extent you request that we photograph, film and/or record you, we may do so and any such photos, videos or recordings will be considered GoDaddy Content and will be owned exclusively by GoDaddy. To the extent such photos, videos or recordings contain any third party’s name, image, likeness or voice, you represent and warrant that you will obtain all necessary permissions and releases from such third party. In the event you wish to use such photos, videos or recordings in connection with your business outside of the Services, upon your request, we may choose to grant you a non-exclusive, non-transferable, non-sublicensable, worldwide license to use, copy, modify, create derivative works based upon, publicly display, publicly perform, and display certain of those photos, videos, or recordings subject to the payment of a fee.

6. 自動產生設計內容。在您以服務進行設計時，GoDaddy 得使用生產人工智慧 (AI) 使用您提出的內容自動產生文字。您授權 GoDaddy 儲存在設計程序中提出的特定內容，並將此等內容當做機械學習模組使用，以便開發並持續改善本功能。

   3. 合理的期望。我們致力於提供能夠符合您期望的服務。但是，如果提出的要求不合理或不可能在服務範疇內完成，我們則不保證能夠符合期望。
   5. 您的延誤。我們必須仰賴您適時透過帳戶中的「設計管理員」回饋及核准才能完成服務。若因為您逾期或無提供回應、意見回饋或核准，包含您未啟動設計程序等原因而導致延遲，並產生額外費用、時間或支出時，我們恕不負責。
      
   7. 內容限制。創造設計內容時，我們保留拒絕任何剝削兒童、含有色情內容或其他粗俗內容、含有其他實體的著作權或註冊商標材料或侵犯他人智慧財產權的內容、騷擾、誹謗或詆毀他人、鼓吹或宣傳恐怖主義或其他非法行為、含有非法內容，或其他任何我們主觀認定不適合的設計指示的權利。
   9. 商店產品目錄。標準版商店設計方案以 1500 種商品為上限。雖然超豪版商店設計方案沒有商品數量上限，但是由於系統上潛在的物質和實際限制，因此系統效能可能在達到一定的產品數量後開始變慢，這些限制包括 (但不限於)：系統架構、系統容量、系統負載、使用者網際網路連線能力和使用者電腦組態。超過 3000 種商品的產品目錄可能會需要額外的主機頻寬，而您的每月支出費用將會增加。
      
   11. 無備份義務。您有權利 (但非義務) 在設計完成前或服務取消時備份或封存您的設計。
       
   13. 設計服務限制。以下服務不包含在一開始的設計方案內，但是可以額外購買，作為更新： (i) 任何超出您適用設計方案內修改次數的修改內容；(ii) 相片修圖服務，例如圖像去背、增加陰影、清理圖像汙點及刮痕、統一圖像大小以及調整層級/亮度以便符合其他材料等。我們不提供以下相片修圖服務，也無法作為更新的一部份：修正色調或將低畫質圖像調整成高畫質圖像。
       
   15. 與主機平台整合。由我們設計的網站及網路商店皆架設於我們的主機平台並與其整合，若您嘗試轉移或以其他方式將任何此等網站或網路商店轉換到其他主機供應商，即屬違反本協議。
       
   17. 不提供背書。我們不會針對任何使用服務建立的設計背書，並明確不對以上內容負起任何責任。
       
   19. 帳戶安全性。您必須負責維持您帳戶的安全性。您必須自行負責發生在您帳戶內的活動內容，無論是否經過您授權。您必須安全保存您的帳戶資訊與密碼。我們明確不對任何因未經授權使用或存取您帳戶的行為負任何責任。
       
   20. 儲存空間與安全性。您將全權負責施行相關措施，以便：(1) 防止您的網站或伺服器內容遺失或受損；(2) 維護您網站或伺服器內容的獨立封存和備份 ；和 (3) 確保您所有的網站、或透過我們的伺服器傳輸或儲存於我們伺服器上的內容之安全性、機密性和完整性。我們的伺服器並非資料庫，且我們無須對您或其他任何人的內容遺失、受損或損毀負責。本網站設計服務並不提供 PCI (支付卡產業) 或 HIPAA (健康保險的輕便性與義務性法案) 的相容環境，因此不應視為此類環境。您不能以任何 (以我們全權認定為準) 會損害服務或設備功能或運作的方式使用服務。具體舉例但不限於此，您不可將本網站設計服務用作下列用途：(1) 放置或儲存封存檔案的儲存處或工具；和/或 (2) 放置或儲存可從其他網站上下載的材料。您知悉且同意我們有權利在您的帳戶遭洩露的情況下進行詳細的檢查。
   22. WordPress 託管設計。我們明確不對任何由於駭客入侵任何網站而造成的結果負任何責任。
       
   24. 外掛程式與附加元件。我們不負責維修任何在第一版發佈時或之後加入您網站第三方附加元件或外掛程式。某些功能可能需要客戶購買付費外掛程式，並需要額外的更新時間進行安裝並設定後方可使用。您必須自行負責確保您的附加元件或外掛程式為最新版，並正常運作。
       

1. 1. 合理的要求。您同意所有要求的本質都合乎情理，並符合購買服務的範疇。
   3. 維持訂閱之義務。所有服務，包含您方案內含的任何免費產品或服務，都必須在購買時連結至特定的網站或網路商店，且不得在之後轉讓至其他帳戶、網站或網路商店。所有服務，包含您方案內含的任何免費產品或服務，都必須在您啟用服務訂閱期間才能提供。若您無法維持您帳戶的資格，則包含您方案內含的任何免費產品或服務在內，所有未解決或待處理的服務皆會遭到中止，且無法退款或退還信用額度。您購買服務方案的當日即為帳單計價週期的起始日。
   5. 設計服務提供方式與時機。初次購買網站或網路商店設計方案之後，您即須 (i) 和專業網路服務團隊進行初次諮詢，並 (ii) 提供所有您認為初次建置之網站或網路商店中必須要有的內容。您提供的所有內容都通過審核後，我們就會開始建置您的網站或網路商店。
      
   7. 提交內容。除非您核准由設計團隊所提供的內容，否則您必須負責針對您的設計提交所有的複本、影像以及其他內容。所有提交的內容都應該是複本，而非正本。您同意在十 (10) 個工作天內回應任何與內容、回饋意見或核准相關的要求。 所有內容都必須以電子形式提交，我們不會退還您提供的任何材料。若檔案過大而無法以電子形式傳輸時，可以進行其他安排作業，但是可能需要收取額外的費用，且表訂的完成時間可能需要延後。我們得以全權認定圖像品質過低，並可能因此要求您重新提交圖像。如果您在十 (10) 個工作天內並無提交內容，則我們會嘗試向您確認是否已完成內容之提交作業，但我們保留將網站推進至製作階段的權利，屆時您將僅可透過更新分鐘數新增其他內容。您必須自行負責保有您提交內容的獨立備份複本。我們明確表示不負責您提交的任何內容或材料所出現的損失、損傷或毀壞等情形。
      
   9. 自動發佈。在您接到通知，告知您網站或網路商店已經準備完成並待您檢閱的十 (10) 天內，您必須 (i) 將您的修改版本提供給我們，或 (ii) 通知我們您不需要修改任何內容。如果您在十 (10) 天內並無採取任一措施，我們便會在未進行其他檢閱的情況下代替您發佈您的網站或網路商店。發佈後，您隨時可以選擇變更您網域名稱內的 DNS 設定，以便取消網站發佈。
   11. 完成服務。我們在得知您滿意至今提供的服務內容後才會發布您的設計，同時我們也不再有幫您修訂或變更的義務，直到您下一次啟用更新分鐘數為止。您也瞭解並同意，當您的設計發佈後，您無法以包含但不僅限於不滿意設計內容等任何理由退還點數或退款。
       
   13. 更新分鐘數降級。您的訂閱內容內可能含有更新分鐘數方案。您維持服務訂閱期間達完整十二 (12) 個月後，可以聯絡我們為您降級為不含任何每月更新分鐘數的方案。方案降級後，您可以 (i) 自行運用我們的控制面板維護您的設計，或 (ii) 購買更新分鐘數。降級後，如果您想復原為內含每月維護分鐘數的方案，則將需選購為期六 (6) 個月以上的方案。
       
   15. 我們終止您的服務的權利。您瞭解並同意若發生以下情形，則 GoDaddy 得擁有絕對的權力與權利、得全權認定，且無須對您負任何責任的情形下，終止您的服務：

       您沒有在購買方案後六 (6) 個月內完成電話訪談，或未提交您的初始設計內容。若在取消的時候，我們尚未開始進行您的設計，您可能有資格得以針對您方案內剩下的時間申請部分退款。

       您沒有在我們提出要求後三十 (30) 天內提供我們要求的其他內容、意見回饋或核准。如果我們已開始進行您的設計 (即為開始進行任何創作過程)，您可能有資格得以針對您方案內剩下的時間申請部分退款，但您必須針對當時已完成的部分付款，並須依照我們 退款政策明定的費用再付一筆取消費。

   17. 使用者內容。您必須自行負責確保任何及所有您提供給我們代替您進行服務的使用者內容不會侵犯或違反任何智慧財產權 (包含但不限於商標、商業名稱、著作權、專利、網域註冊權、商業機密) 或其他任何屬於第三方的權利 (包含但不限於隱私權與合約權) 並 (或) 確保您已獲得任何在您的使用者內容內使用第三方智慧財產 (包含但不限於著作權與商標) 及其他財產資訊必要的授權。我們不需負責，且您提供的使用者內容若有侵犯或違反任何第三方權力，包含但不限於公開權、隱私權、專利、著作權、商標、商業機密及 (或) 許可，無論是事實還是嫌疑，您都同意為我們辯護，並使我們不受損害。

1. 1. 所有服務之限制 除《通用服務條款》內第 5 節 (一般行為守則) 外，您也瞭解並同意您不得透過以下方式使用任何服務 (由我們主觀且全權認定)：
      • 展示或宣傳除色情、限制級、露骨情色內容或其他粗俗的材料、敘述、圖像、產品或服務 (包含但不限於伴遊或賣淫)；
      • 販售或宣傳贓物或違法物品及 (或) 促進或指示他人進行非法行為的物品；
      • 販售或宣傳侵害第三方權利 (如著作權或商標) 或偽造商品，這些商品模仿商品的品牌特色，以此嘗試混充為品牌持有人的真實商品；
      • 販售或宣傳受控管的物質及非法藥品 (包含處方藥)、用來大量製造受控管的物質及非法藥品的物品，以及吸食藥物的器具；
      • 販售或宣傳被美國消費品安全委員會要求下架的商品。
      • 販售或宣傳源由為受威脅物種或瀕危物種的產品或相關內容。
      • 宣傳離線或線上博弈，或指導如何賭博；
      • 宣傳可能會被認為針對天然災害、衝突、死亡或其他悲慘事件獲利或缺乏合理敏感度的內容。
      • 宣傳煽動或贊同對他人之仇恨的內容。不恰當地歧視某人或某團體，或打算脅迫、剝削或羞辱他人的內容。
      • 宣傳包含暴力語言、血腥或噁心圖像，或身體創傷的紀錄內容。含有非必要描寫體液或排遺的內容。
      • 宣傳含有猥褻或褻瀆的語言或內容，或可能造成驚嚇的內容。
      

   3. 網路商店服務限制 (非完整清單) 您同意不會用服務建立販售下列品項的網路商店：
      • 酒精飲品
      • 電子煙、大麻二酚 (CBD)、四氫大麻酚 (THC)、大麻、吸食用品、菸草及相關產品
      • 墮胎相關產品或服務
      • 槍械、槍械零件或武器
      • 非處方及處方醫藥物質
      • 可能造成人身或財產嚴重傷害的爆裂物或類似產品
      • 金融、貨幣兌換、借款或相關產品
      • 網域名稱
      

   5. 網站設計服務限制及例外情形 (非完整列表)
      • 我們限制裸體圖像的使用方式，僅限脫衣酒吧及成人商店、藝術相關 (如大衛像) 或醫療領域(如為乳癌外科醫生展示手術前後的胸部) 的資訊網站使用；
      • 我們在宣傳酒類飲料上有限制，僅可宣傳合法且負責任的酒類用法。
      • 我們在宣傳刀類上有限制，僅可宣傳合法且負責任的刀劍使用法、防禦用途、收集用途、再製用途或運動用途。
      • 我們在宣傳設計上會爆炸並可能對周遭人物及財產的商品或商品指示上有限制，僅可宣傳簡單的煙火或模型火箭。
      • 我們在宣傳槍械、槍械零件或武器上有限制，僅可宣傳合法且負責任的用法。
      • 我們在宣傳與墮胎有關的產品或服務上有限制，僅可宣傳非營利的資訊或諮商網站。
      • 我們在宣傳醫藥物質上有限制，僅可宣傳遵守當地法規及產業標準的醫藥。
      • 我們在宣傳政治候選人、政黨或內容上有限制，僅可宣傳未違反我們指南中其他部分的內容。
      • 我們在宣傳菸品及菸品相關的產品上有限制，僅可宣傳提倡戒菸的內容。
      • 我們在宣傳金融、貨幣兌換、借款或相關產品上有限制，僅可宣傳資訊網站。
      
      您有責任確保任何在您的網站之內容或網路商店上販售的產品，皆符合可存取您網站或購買您的產品之地區所適用的法律及法規。我們保留主觀認定網站內容或任何特定之販售物違反法律或禁令，並禁止販售任何禁止物品及 (或) 取消您的網站設計或網路商店服務的權利。
   7. 社交媒體管理。由於每個社交媒體管理套件內都包含 Facebook 的廣告，因此我們無法服務未遵守 Facebook 廣告指南的網站或企業。若要查閱完整受禁止及受限制的內容清單，請見《Facebook 廣告政策》。

For this section, “Design” includes the delivered product of the Website Design, Webstore Design, and Logo Design Services as described above.

By submitting content for your Design to us, you grant us an unrestricted license (i) to use the content for the purpose of creating your Design, and (ii) to display screenshots of your Design online, in marketing materials, or in any other manner we desire.

Upon completion of your Design, we agree to transfer all rights and ownership of the Design to you. However, software and third-party content and programs are never transferred to you and remain under copyright of their respective owners. Further, ownership and copyright of all templates and themes available to us in creating your Design, including all applicable source code, remain with us and are not transferred to you.

Unless otherwise specifically provided in this Agreement, no right or license under any copyright, trademark, patent, or other intellectual property right or license is granted by this Agreement. We reserve all rights not expressly granted herein.

The Services may include access to other of our products and services. If your Design plan includes an Email account and/or SSL Certificate, it will be your responsibility to setup those services.

If your Design plan includes an Online Store, we will set up that product for you as part of our Service. Your electronic acceptance of this Service Agreement signifies that you have also read, understand, acknowledge and agree to be bound by the Online Store/Quick Shopping Cart Agreement, which is incorporated herein by reference.

If your Design plan includes Search Engine Visibility, you may make a request in the Design Manager for us to set up that service for you in conjunction with your Design. If you make that request, then your electronic acceptance of this Service Agreement signifies that you have also read, understand, acknowledge and agree to be bound by the Marketing Services Agreement, which is incorporated herein by reference. To facilitate the set up of this additional service, you will be required to fill out an electronic worksheet providing the necessary information, setup and details for configuration before we can complete the set up. Our set up and configuration of these services will use one month (one 30-minute block) of the Maintenance included with your Design plan. Once set up and configured, continued monitoring of the Search Engine Visibility service will be your responsibility.

4. 終止。您必須自行負責透過電話或用您自己的線上帳戶通知 GoDaddy 客戶成功團隊取消您的帳戶。
   
6. 隱私權。我們可能會將您的個人資訊提供給第三方供應商，以便提供第三方圖像/軟體。我們保留隨時修改、變更或終止使用圖像/軟體的權利，您並同意在與此相關的事項上合作進行任何必要的步驟。
8. 限制。我們不為任何與本服務相關之第三方圖像/軟體作任何聲明或保證，且明確聲明不承擔任何其相關之責任或義務。
10. 賠償。若有任何及所有由於您使用或誤用任何第三方圖像/軟體而直接或間接導致我們遭受申訴時，您瞭解並同意您會保護、辯護、賠償、並使我們免受損害。您瞭解並同意，為實行本協議規範的第三方供應商權利，本協議的第三方受益人將為第三方圖像/軟體的供應商。
12. 適用於 Fotolia 之其他條款與條件。您瞭解並同意 《Fotolia 使用條款與條件》。
14. 適用於 WordPress 之其他條款與條件。您瞭解並同意 《WordPress 使用條款與條件》。
